Terms of Service

1. Agreement to Terms

By accessing or using PlzGoGreen's accounts payable automation platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

PlzGoGreen provides an enterprise-grade accounts payable automation platform that includes:

• Automated invoice processing and OCR
• Intelligent document matching
• Payment run automation
• Digital filing and document management
• ERP integration capabilities
• Analytics and reporting tools

3. Account Registration

To use our Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Be at least 18 years old or have legal authority to enter into this agreement

4. Acceptable Use Policy

You agree NOT to:

• Use the Service for any unlawful purpose or fraudulent activity
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization

5. Subscription and Pricing

Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• Prices may change with 30 days notice
• You authorize automatic recurring payments

Free Trial

If offered, free trials are subject to usage limits and may be terminated at our discretion. At the end of the trial, your account will be converted to a paid subscription unless cancelled.

6. Data Processing and Ownership

Your Data

You retain all rights to your data. By using our Service, you grant us a license to process, store, and use your data solely for providing the Service.

Data Security

We implement industry-standard security measures but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by PlzGoGreen and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Service Level Agreement (SLA)

We strive to maintain:

• 99.9% uptime availability
• Regular backups and disaster recovery
• 24/7 system monitoring
• Security updates and patches

Scheduled maintenance will be communicated in advance. SLA credits may be available for enterprise customers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLZGOGREEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless PlzGoGreen from any claims, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Termination

Either party may terminate this agreement:

• For convenience with 30 days written notice
• Immediately for material breach
• Immediately for insolvency or bankruptcy

Upon termination, your access will be disabled, and you may request data export within 30 days.

13. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the use of the Service.

14. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service disruptions.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification with at least 30 days notice.

18. Entire Agreement

These Terms constitute the entire agreement between you and PlzGoGreen regarding the use of the Service and supersede any prior agreements.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
